These Terms and Conditions ("Terms") govern your access to and use of the website, mobile sites, digital platforms, and services operated by Essereal Consumer Products LLP, under its brand Biodale ("Biodale", "Essereal", "Company", "we", "us", or "our"), including the purchase and use of Biodale products (collectively, the "Platform").
By accessing, browsing, or using the Platform, or by purchasing any Biodale products, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Return & Refund Policy, and any other policies referenced herein (collectively, the “Policies”). If you do not agree, you must refrain from using the Platform.
We may revise these Terms at any time, with or without notice. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms and Conditions.
1. ELIGIBILITY & USER REPRESENTATIONS
You represent and warrant that:
● you are at least 18 years of age, or, if under 18, your parent or legal guardian has placed the order and is responsible for compliance with these Terms;
● you are competent to enter into a legally binding contract under applicable law;
● all information provided by you is accurate, current, and complete.
We reserve the right to suspend or terminate access if any information provided is found to be false, misleading, or unlawful.
2. SCOPE OF PLATFORM & SERVICES
Biodale is a consumer personal care and wellness brand offering Products including, but not limited to, skincare, hair care, oral care, and related lifestyle products.
We reserve the right to modify, add, suspend, or discontinue any aspect of the Platform or Products at any time without prior notice.
3. ACCOUNT REGISTRATION & SECURITY
Certain features may require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
We shall not be liable for any loss arising from unauthorized use of your account.
4. PRODUCT INFORMATION & USAGE DISCLAIMERS
Product descriptions, images, ingredients, and claims are provided for general informational purposes only. Actual product packaging, appearance, or formulations may vary from time to time. Products are not intended to diagnose, treat, cure, or prevent any disease. Individual results may vary depending on personal factors, usage, and external conditions.
You are responsible for reviewing ingredient lists prior to use and for conducting patch tests where applicable. If you have known allergies, sensitivities, or underlying medical conditions, you are advised to consult a qualified healthcare professional before using the Products.
5. PRICING, TAXES & AVAILABILITY
Prices are displayed in Indian Rupees (INR) unless stated otherwise.
Prices may be inclusive or exclusive of applicable taxes, as indicated at checkout.
We reserve the right to revise prices, offers, or availability at any time.
In the event of a pricing or typographical error, we reserve the right to cancel or refuse orders placed at incorrect prices.
6. ORDERS & ACCEPTANCE
Your order constitutes an offer to purchase Products. Orders are subject to our verification and acceptance.
We reserve the right to refuse, cancel, or limit quantities per order or per customer, including in cases of suspected fraud, misuse, or violation of these Terms.
An order is deemed accepted only upon dispatch confirmation.
7. PAYMENTS & PAYMENT PROCESSING
7.1 Payment Modes
We accept prepaid payments only, including debit cards, credit cards, UPI, net banking, and digital wallets, through authorized payment gateways.
Payment methods available may vary based on location, order value, risk assessment, or other internal criteria. We reserve the right to modify available payment methods at our discretion.
7.2 Payment Service Providers
Payments are processed through authorized third-party payment service providers, including Razorpay, and such other providers as we may engage from time to time. You acknowledge that:
● payment processing is handled by third-party systems not under our direct control;
● you may be redirected to third-party platforms to complete payment;
● transactions are subject to the terms and privacy policies of such providers.
We do not store complete card details, UPI credentials, or bank account information.
7.3 Payment Failures
If a prepaid amount is debited but you do not receive an order confirmation, you may contact customer support with transaction details. Subject to verification, reversals shall be processed by the payment provider within the timelines prescribed by applicable regulations.
We shall not be liable for delays caused by banks or payment networks. Refunds or reversals of failed transactions will be processed within the timelines prescribed by applicable regulations.
8. SHIPPING, DELIVERY & FULFILLMENT
8.1 Delivery Coverage
We deliver Products only to serviceable addresses within India through third-party logistics partners. Serviceability is determined by the delivery pin code and may change due to operational or regulatory reasons.
If a pin code becomes unserviceable after order placement, we reserve the right to cancel the order. Prepaid orders will be refunded within a reasonable timeframe.
8.2 Order Processing & Dispatch
Orders are typically processed and dispatched within 48 working hours, excluding weekends, public holidays, or unforeseen circumstances.
8.3 Delivery Timelines
Estimated delivery timelines generally range from 2 to 10 business days from dispatch. These timelines are indicative and not guaranteed.
Delays may occur due to factors beyond our control, including weather conditions, natural calamities, regulatory restrictions, strikes, or logistical disruptions.
8.4 Shipping Fees
Shipping fees, if applicable, are disclosed at checkout prior to order confirmation.
8.5 Address Accuracy
You are responsible for providing complete and accurate delivery details. Orders are shipped to a single address per order. Address changes may not be possible after the order is placed.
We shall not be responsible for delays or non-delivery arising from incorrect, incomplete, or inaccurate delivery details provided by you.
8.6 Delivery Attempts
Logistics partners typically make multiple delivery attempts. If delivery fails, we may contact you to arrange re-delivery or cancel the order at our discretion. Redelivery or rescheduling is subject to logistics partner policies.
8.7 Split Shipments
Orders containing multiple Products may be shipped in separate packages with different tracking numbers.
8.8 Damaged, Missing, or Incorrect Products
Any damaged, defective, missing, or incorrect Products must be reported in accordance with our Return & Refund Policy. Delivery partners are not authorized to resolve such issues at the time of delivery.
8.9 International Shipping
At present, international shipping is not offered. Products are delivered only within India. We may introduce international shipping in the future, subject to separate terms.
9. RETURNS, REFUNDS & CANCELLATIONS
All returns, refunds, and cancellations are governed by our Return & Refund Policy, which forms an integral part of these Terms.
10. PROMOTIONS, DISCOUNTS & OFFERS
Promotions, discount codes, referral programs, and bundled offers are subject to the specific terms communicated at the time of such offer.
We reserve the right to verify eligibility for any promotion, modify or withdraw promotions and to revoke benefits in cases of misuse, fraud, or technical error.
11. USER REVIEWS & USER-GENERATED CONTENT
By submitting reviews, testimonials, images, videos, or other content, you grant us a worldwide, perpetual, royalty-free, irrevocable license to use, reproduce, modify, publish, and distribute such content for business, marketing, and research purposes. You confirm that you have all necessary rights to grant us such a license and that your content does not infringe any third-party rights. We reserve the right to moderate or remove content at our discretion.
12. COMMUNICATION CONSENT
By using the Platform or providing your contact details, you consent to receive transactional, service-related, and promotional communications via email, SMS, WhatsApp, phone calls, or other electronic means. Promotional communications will only be sent after you provide explicit consent, which you may withdraw at any time by following the unsubscribe instructions or contacting us. Transactional communications necessary for the performance of Services will continue irrespective of marketing preferences.
13. MARKETPLACE & THIRD-PARTY SALES
Products may also be sold through third-party marketplaces or retail partners. Pricing, delivery timelines, and policies on such platforms are governed by their respective terms.
We are not responsible for the acts or omissions of third-party platforms beyond statutory obligations.
14. SUBSCRIPTIONS & FUTURE SERVICES
If subscription-based or auto-replenishment services are introduced, they shall be governed by additional terms disclosed at the time of enrollment. We reserve the right to modify or discontinue such services.
15. INTELLECTUAL PROPERTY
All content on the Platform, including trademarks, logos, product names, text, graphics, images, and software, is our exclusive property or that of our licensors. No content may be copied, reproduced, or exploited without prior written consent.
16. USER CONDUCT
You agree not to:
● violate any applicable laws;
● infringe intellectual property rights;
● upload malicious or harmful content;
● engage in fraudulent, abusive, or deceptive conduct;
● interfere with the operation of the Platform.
Customers are advised to exercise caution regarding any calls, messages, emails, or other communications claiming to be from Essereal Consumer Products LLP or Biodale, or offering products, gifts, or incentives in exchange for payment to bank accounts or platforms not officially operated by the Company.
Essereal Consumer Products LLP does not make unsolicited calls or messages of this nature and will never ask you to transfer funds to third-party accounts for the purpose of purchasing products, gifts, or promotions.
Customers are strongly advised not to respond to or remit any funds in connection with such communications. If you receive any suspicious or fraudulent communication, please immediately contact our customer support at contact@essereal.com and/or register a complaint with your local police or cybercrime authorities.
Essereal Consumer Products LLP shall not be responsible or liable for any loss, damage, or expense incurred as a result of responding to fraudulent communications or offers.
17. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
● we shall not be liable for indirect, incidental, special, or consequential damages;
● our total liability for any claim arising under or in connection with these Terms shall not exceed the amount paid by you for the specific Product giving rise to the claim.
Nothing herein excludes liability that cannot be excluded under applicable law.
18. INDEMNITY
You agree to indemnify and hold us harmless from any claims, losses, liabilities, or expenses arising from your breach of these Terms, misuse of the Platform, or violation of law.
19. FORCE MAJEURE
We shall not be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, pandemics, strikes, governmental actions, or technical failures.
20. GOVERNING LAW & JURISDICTION
These Terms shall be governed by the laws of India. Courts in Ahmedabad, Gujarat, India, shall have exclusive jurisdiction, subject to any rights granted to consumers under applicable Indian law.
Both you and the Company agree to act in good faith in the performance of these Terms, including but not limited to placing orders, processing payments, resolving disputes, and engaging in communications or promotional activities. Any fraudulent, abusive, or deceptive conduct will be considered a breach of these Terms.
21. SEVERABILITY & WAIVER
If any provision is held unenforceable, the remaining provisions shall continue in effect. Failure to enforce any right shall not constitute a waiver.
